1. Introduction

2. Services Overview
Web Switch offers a variety of services, including but not limited to web development, app development, cloud services, UX/UI development, AI/ML solutions, and DevOps automation. The scope, features, timelines, and pricing of each project are established and agreed upon before commencing any work. Any modifications to these terms must be agreed upon in writing by both parties.
3. Payment Terms
Clients must adhere to the payment schedule outlined in the project agreement. A non-refundable deposit is required to initiate any project. Additional payments are made according to the agreed milestones or upon project completion. All payments must be completed in the specified timeline to ensure continued progress on the project. Web Switch reserves the right to suspend services if payment is delayed beyond the due date.
4. Cancellation and Refund Policy
Once the project has commenced, any cancellation request must be made in writing. Payments made up to the cancellation date are non-refundable. In cases where Web Switch fails to deliver as agreed upon, a reasonable solution will be provided, which may include adjustments to the scope, timeline, or other negotiated terms.
5. Intellectual Property Rights
All intellectual property rights related to custom software, content, or designs created by Web Switch will remain with Web Switch until full payment is received. Once payment is completed, intellectual property rights will be transferred to the client, unless otherwise specified in the agreement. However, Web Switch reserves the right to use components of the work for promotional purposes or in portfolios, unless the client requests otherwise.
6. Client Responsibilities
Clients must provide all necessary content, resources, and information required for project execution in a timely manner. Failure to do so may result in delays or additional costs. Clients are responsible for the accuracy of the materials they provide and must ensure that any assets (such as logos, images, or documents) are owned by them or appropriately licensed.
7. Confidentiality
Both Web Switch and the client agree to maintain the confidentiality of proprietary information shared throughout the course of the project. Neither party shall disclose or use any confidential information for purposes outside the scope of the project without prior written consent from the other party.
8. Limitation of Liability
Web Switch is committed to delivering quality work but cannot guarantee specific results. We are not liable for any direct, indirect, or incidental damages resulting from the use of our services, including but not limited to, loss of revenue, data, or reputation. Clients are encouraged to thoroughly test the deliverables and report any issues for rectification.
9. Warranty and Support
Web Switch provides a limited warranty on delivered projects for a period of 30 days after deployment. During this period, we will address and correct any bugs or issues found due to development errors. For ongoing support, maintenance agreements are available to ensure your product continues to function optimally.
10. Scope Changes
Any changes requested by the client after the project scope has been defined will require a formal change request. Scope changes may result in additional fees and adjusted timelines. Web Switch will evaluate the requested changes and communicate their impact before proceeding.
11. Third-Party Tools and Services
To enhance functionality, Web Switch may use third-party tools or services. While we take care to select reliable providers, we are not responsible for the performance, availability, or limitations of any third-party software. Any costs associated with third-party tools are the responsibility of the client.
12. Termination
Web Switch reserves the right to terminate services if the client breaches any of these terms or engages in activities that are unlawful or unethical. Should Web Switch decide to terminate services, clients will be billed for all work completed up to the termination date. Similarly, clients may terminate the contract with 14 days’ written notice, and payments will be required for work completed up to the notice date.
13. Governing Law
These Terms and Conditions are governed by and construed in accordance with the laws of the jurisdiction in which Web Switch operates. Any disputes arising out of or related to these terms shall be settled through arbitration in accordance with the jurisdiction’s prevailing arbitration rules.
14. Amendments
Web Switch reserves the right to modify these Terms and Conditions at any time. Any significant changes will be communicated to clients, and continued use of our services implies agreement with the revised terms.
